(the "Company" or "Prisa") discloses the following for the purposes of article 17 of Regulation (EU) No 596/2014 on market abuse and article 226 of the Spanish Securities Market Act (Ley del Mercado de Valores) as recast by Legislative Royal Decree 4/2015 of 23 October 2015.
INSIDE INFORMATION
Following the communication of Inside Informations dated 4 September and 2 November 2020 (with registration number 442 and 546, respectively) (indistinctly, the "Inside Information"), it is informed that Vertix, SGPS, S.A. ("Vertix"), a wholly owned subsidiary of Prisa, has concluded on the date hereof the execution of the process of sale of its shareholding (representing 64.47%) in the Portuguese listed company Grupo Media Capital SGPS, S.A. ("Media Capital").
Thus, on the date hereof it has been completed the sale of the 21.2% stake in Media Capital held by Vertix (the "Transaction"), which was in progress yesterday according to the Inside Information.
The Transaction has been carried out through independent block trade transfers of the shares for a total price of € 12,117,127.78 - out of the € 36,850,047.74 that the sale of the entire shareholding (64.47%) held by Vertix in Media Capital has entailed.
The Transaction is the culmination of the divestement process of Prisa in the audivisual sector, in accordance with the Company's roadmap for targeting its strategic education and media assets.

Grupo Média Capital, SGPS, S.A. is one the leading Portuguese media groups. Net sales (excluding businesses in the process of being sold) break down by activity as follows:
- operation of a TV channel (56.5%): operation of the general-interest TVI channel;
- production of televised programs (16.7%; NBP; No. 1 in Portugal): series, soap operas and movies;
- other (26.8%): operation of Internet portals, publishing of music CDs and DVDs, event organization, distribution of films in theaters, DVD distribution, sales of audiovisual rights, etc.
Net sales (excluding businesses in the process of being sold) break down by source of income between sales of advertising space (53.9%), and other (46.1%).
