Stalking Horse Bid Agreement Approved for FTD Companies, Inc.

The US Bankruptcy Court gave an order approving the stalking bid agreement relating to the sale of certain assets of FTD Companies, Inc. on July 2, 2019. As per the order, the Court has approved Farids Stalking Horse Agreement. As per the agreement, dated as of June 23, 2019, PlanetArt LLC seeks to purchase substantially all of the assets related to Personal Creations (including Gifts.com) for an aggregate purchase price of $18.1 million. Buyer has deposited 10% of the purchase price as escrow deposit. Buyer will be provided bid protection comprising of an expense reimbursement of $0.18 million and break-up fee of $0.54 million. Transaction is expected to close by August 26, 2019.
