Hansol Holdings Co., Ltd. (KOSE:A004150) agreed to acquire the investment business sector from Hansol Logistics Co., Ltd. (KOSE:A009180) for KRW 91.2 billion in stock on March 23, 2015. The merger ratio between Hansol Holdings and Hansol Logistics is 1:0.2537443 and Hansol Holdings will issue 12.18 million shares as consideration. As of April 13, 2015, Hansol Holdings Co., Ltd. agreed to acquire the investment business sector from Hansol Logistics Co., Ltd. (KOSE:A009180) for KRW 93.7 billion in stock. As of April 13, 2015, the merger ratio has been amended to 1:0.2397489 and 11.51 million new shares will be issued as consideration. The new shares issued are expected to be listed on July 24, 2015. As of December 31, 2014, investment business sector had total assets of KRW 80.5 billion. The scheduled date for general meeting of shareholder approval is May 14, 2015. As of May 14, 2015, the transaction is approved by shareholders of Hansol Holdings Co., Ltd. and Hansol Logistics Co., Ltd. The transaction is expected to close by June 30, 2015. PricewaterhouseCoopers Korea acted as valuer in the transaction. PricewaterhouseCoopers Korea, Financial Advisory Arm acted as financial advisor for Hansol Holdings.
