COMUNICADO AO MERCADO

VENDA DA MAIDA HEALTH

A Hapvida Participações e Investimentos S.A. (Hapvida ou Companhia) (B3: HAPV3), em cumprimento às normas vigentes, informa a seus acionistas e ao mercado em geral que, em continuidade ao fato relevante divulgado em 8 de março de 2023, celebrou instrumento contratual para a venda da Maida Health Participações Societárias S.A. (Maida Health e Transação, respectivamente), controlada indireta da Companhia, para a MV Sistemas SP Ltda. Essa Transação conclui o processo de alienação de negócios não core da Companhia.

A Maida Health oferece soluções tecnológicas de gestão para operadoras e planos de saúde (autogestões) e outros serviços de apoio. Pelos termos acordados, o enterprise value da Transação

• de R$ 26,6 milhões, sujeito a mecanismos de ajustes de preço comuns em transações similares, além de potenciais parcelas adicionais anuais (earn-out) a serem precificadas ao longo dos próximos 5 anos.

A conclusão da Transação está condicionada ao cumprimento de determinadas condições precedentes, conforme previstas no respectivo contrato, incluindo a aprovação prévia pelo Conselho Administrativo de Defesa Econômica (Cade). Ressalta-se que a Maida Health continuará a conduzir seus negócios normalmente. Portanto, clientes, fornecedores, colaboradores e demais partes interessadas não devem esperar quaisquer alterações na administração, relações comerciais, fornecimento e oferta de serviços.

NOTICE TO THE MARKET

DIVESTMENT OF MAIDA HEALTH

Hapvida Participações e Investimentos S.A. (Hapvida or Company) (B3: HAPV3), in compliance with current regulations and following the material fact disclosed on March 8, 2023, hereby informs its shareholders and the market in general that, it has signed a contractual instrument for the sale of Maida Health Participações Societárias S.A. (Maida Health and Transaction, respectively), an indirect subsidiary of the company, to MV Sistemas SP Ltda. Maida Health offers technological management solutions for operators and healthcare plans (self- management) and other back office services. This Transaction completes the process of divesting the Company's non-corebusinesses.

By the agreed terms, the enterprise value of the Transaction is R$ 26.6 million, subject to price adjustment mechanisms common in similar transactions, with potential additional annual installments (earn-out) to be priced over the next five years. As previously disclosed, the transaction is part of the context of optimizing and strengthening the Company's capital structure as well as an increasing focus on it is core business.

The conclusion of the Transaction is subject to the fulfillment of certain conditions precedent, according to the respective contracts, including prior approval by the Administrative Council for Economic Defense (CADE, Brazilian antitrust authority). Until the conclusion of the Transaction, Maida Health will continue to conduct its business as usual. Therefore, customers, suppliers, employees and other interested parties should not expect any changes in management, business relationships, supply and delivery of services.
