Genflat, Inc. entered into a Share Exchange Agreement to acquire Healthcare Business Resources, Inc. in a reverse merger transaction.

Genflat, Inc. entered into a Share Exchange Agreement to acquire Healthcare Business Resources, Inc. (OTCPK:HCBR) in a reverse merger transaction on October 18, 2023. On the Closing Date, pursuant to the Share Exchange, each share of common stock of GenFlat owned by a Shareholder shall be exchanged for shares of HBR Stock. The number of shares of HBR Stock received by the Shareholders will equal 98% of the issued and outstanding HBR Stock immediately after the Share Exchange.

The Closing is expected to occur on or about December 15, 2023.
