Hospital Mater Dei S.A. entered into purchase and sale agreement to acquire Hospital Santa Genoveva Ltda. and Centro de Tomografia Computadorizada Uberlândia Ltda.

Hospital Mater Dei S.A. (BOVESPA:MATD3) entered into purchase and sale agreement to acquire Hospital Santa Genoveva Ltda. and Centro de Tomografia Computadorizada Uberlândia Ltda. on November 18, 2021.

As per the transaction, Hospital Mater Dei S.A. will acquire 99.6% stake in Hospital Santa Genoveva Ltda. and 100% stake in Centro de Tomografia Computadorizada Uberlândia Ltda. On February 18, 2022, RMDS Participações S/A has completed the acquisition of 94.8% stake in Hospital Santa Genoveva.

The Enterprise Value of the Operation is BRL 309 million from which will be deducted the net debt of approximately BRL 57 million. The transaction is subject to approval by Administrative Council for Economic Defense and is approved by Hospital Mater Dei S.A.'s board of directors.
