On May 10, 2021, i3 Verticals, Inc. (the "Company") issued a press release
announcing the results of its operations for the three and six months ended
March 31, 2021. A copy of the press release is furnished as Exhibit 99.1 hereto
and is hereby incorporated by reference into this Item 2.02.
Item 7.01.  Regulation FD Disclosure.
The Company has also prepared a supplemental presentation (the "Supplemental
Presentation") providing certain supplemental financial information for the
three and six months ended March 31, 2021. A copy of the Supplemental
Presentation is furnished as Exhibit 99.2 hereto and is hereby incorporated by
reference into this Item 7.01. A copy of the Supplemental Presentation is also

Item 8.01.  Other Events.
On May 4, 2021, upon the recommendation of the Compensation Committee of the
Board of Directors (the "Board") of the Company, the Board approved the First
Amendment (the "Plan Amendment") to the i3 Verticals, Inc. 2020 Acquisition
Equity Incentive Plan (the "Plan") to increase the number of shares of the
Company's Class A Common Stock, par value $0.0001, available for issuance under
the Plan from 1,500,000 to 3,000,000 shares. The Plan is used exclusively for
grants of awards to individuals that were not previously employees of the
Company or its subsidiaries in connection with acquisitions as a material
inducement to the individual's entry into employment with the Company or its
subsidiaries within the meaning of Rule 5635(c)(4) of the Nasdaq Listing Rules.
The foregoing description of the Plan Amendment is not complete and is qualified
in its entirety by reference to the text of the Plan Amendment, which is filed
as Exhibit 10.1 to this Current Report on Form 8-K.
