Empower Premium Co., Ltd. cancelled the acquisition of ImageOne Zealot Co., Ltd from ImageONE Co., Ltd. and EPARK, Inc.

Empower Premium Co., Ltd. agreed to acquire ImageOne Zealot Co., Ltd from ImageONE Co., Ltd. (JASDAQ:2667) and EPARK, Inc on April 25, 2018. The share exchange ratio is set at 0.2 and a total of 0.004 million Empower Premium shares will be issued as consideration. Also, due to this merger, ImageONE zealot Co., Ltd. will cease to exist on May 30, 2018 while Empower Premium Co., Ltd. is expected to be an affiliated company of Empower Premium.
ImageOne Zealot reported net assets of ¥330.08 million, total assets of ¥357.43 million, operating loss of ¥69 million as of September 30, 2017. The shareholders’ of the concerned parties are expected to approve the deal on May 7, 2018. Deal is expected to close on May 30, 2018. The Board of Directors of ImageONE Co., Ltd resolved in favor of the transaction.

ImageONE Co., Ltd. is a company engaged in the medical imaging business and satellite imaging business. The Medical Imaging segment is engaged in the provision of picture archiving and communication systems (PACSs), as well as the provision of remote diagnostic imaging support and maintenance services. The Satellite Imaging segment is involved in the sale of satellite image data, the integration of terrestrial reception station systems, the sale of image-related software and hardware, as well as the provision of space information derived from the analysis of satellite image data, among others.
