Intact Gold Corp. (TSXV:ITG.H) entered into a legally binding definitive agreement to acquire Mankota and Battle Creek helium properties located in Saskatchewan, Canada on March 28, 2023. As for consideration, Intact Gold Corp.

issued 20,000,000 shares. The Transaction will be effected by way of a statutory amalgamation between HeliumCo and a newly formed wholly owned subsidiary of the Company and is subject to a number of conditions including receipt of all necessary shareholder and regulatory approvals, as well as the completion of an equity financing in an amount not less than $2,000,000 the terms of which will be announced prior to closing of the Transaction.
