Intelbras S.A. - Indústria de Telecomunicação Eletrônica Brasileira entered into a Share Purchase to acquire 55% stake in Allume Holding S.A.S. for BRL 24 million.

Intelbras S.A. - Indústria de Telecomunicação Eletrônica Brasileira (BOVESPA:INTB3) entered into a Share Purchase to acquire 55% stake in Allume Holding S.A.S. for BRL 24 million on October 9, 2023. They paid 30% upfront, with the remaining 60% to be paid in monthly installments over a year, contingent on operational and financial goals in 2023. An additional 10% will be paid annually over three years.

Intelbras also has the option to buy 45% of Allume Holding's shares, exercisable within a ten-year period from the Agreement's conclusion. Intelbras clarifies that the acquisition was subject to authorization by the Superintendencia de Industria y Comercio da Colombia - SIC and is not subject to approval by the General Meeting, pursuant to article 256, of Law 6,404 of December 15, 1976, as amended.
