Intelligent Bio : Private Placement - Form 8-K

Item 1.01 Entry into a Material Definitive Agreement.

On February 29, 2024, Intelligent Bio Solutions Inc. (the "Company") entered into a Consulting Agreement (the "C2C Agreement") with C2C Advisors Inc. ("C2C") pursuant to which C2C will provide certain advisory and investor relations services to the Company. As consideration for such services, the Company agreed pay a fee consisting of: (a) a cash fee of $25,000 per month and (b) a single grant of 37,500 restricted shares of common stock (the "C2C Grant Shares"). The C2C Agreement has an initial term of 6 months.
