FATO RELEVANTE

Rio de Janeiro, 29 de março de 2021 - O IRB-Brasil Resseguros S.A. (B3: IRBR3) ("IRB Brasil RE" ou

"Companhia") informa que, em cumprimento ao art. 20, parágrafo único, inciso III, do Regulamento do Novo Mercado da B3 S.A. - Brasil, Bolsa, Balcão, o Sr. Antônio Cássio dos Santos cessou a acumulação dos cargos, deixando o cargo de Diretor Presidente da Companhia e permanecendo no cargo de Presidente do Conselho de Administração.

Na última Reunião do Conselho de Administração, realizada no dia 26.03.2021, foi aprovada a estratégia 2021-2023 desenvolvida com o apoio de consultoria, líder mundial em gestão empresarial. A execução da estratégia terá a supervisão do Conselho e de seus Comitês de Assessoramento, cabendo a execução da mesma à Diretoria Executiva sob a coordenação do CEO a ser eleito.

Antônio Cássio, como Chairman, na coordenação do Conselho de Administração da Companhia, será responsável, não apenas pela busca de profissional que dê continuidade, como CEO, ao trabalho realizado pela Administração da Companhia, mas garantirá, principalmente, uma transição balanceada e profícua, sem solução de continuidade, para o desenvolvimento do IRB Brasil RE, na busca da excelência, da correta abrangência regional/global, e de resultados crescentes e sustentáveis, aspectos fundamentais da estratégia aprovada.

Tão logo a União sinalizou formalmente sua intenção de manter o atual Presidente do Conselho, o Conselho contratou consultoria internacional especializada em executive search para a busca de um novo CEO.

Nesse ínterim, o Sr. Wilson Toneto, Vice-Presidente da Companhia, executivo com longo histórico no mercado segurador brasileiro e no IRB Brasil RE, acumulará, de forma interina, a Presidência da Companhia com as suas atuais funções nas áreas técnicas, atuariais e de operações.

Assim que o processo de recrutamento e seleção for concluído, a Companhia divulgará a eleição do novo CEO ao mercado.

Rio de Janeiro, March 29, 2021 - IRB-Brasil Resseguros S.A. (B3: IRBR3) ("IRB Brasil RE" or "Company")

informs that, in compliance with art. 20, sole paragraph, item III, of the Novo Mercado Regulation of B3 S.A.

- Brasil, Bolsa, Balcão, Mr. Antônio Cássio dos Santos ceased the accumulation of positions, leaving the position of Chief Executive Officer of the Company and remaining as Chairman of the Board of Directors.

In the last Board of Directors meeting, held on March 26th, 2021, the 2021-2023 strategy developed with the support of a world leader consultancy in business management was approved. The execution of the strategy will be supervised by the Board of Directors and its Advisory Committees. The execution of which is the responsibility of the Executive Officers, under the coordination of the CEO to be elected.

Antônio Cássio, as Chairman, in the chair of the Company's Board of Directors, will be responsible, not only for the search for a professional who will continue, as CEO, the work carried out by the Company's Management, but will mainly guarantee a balanced and fruitful transition, with no continuity solution, for the development of IRB Brasil RE, in the pursuit of excellence, the correct regional/global scope, and growing and sustainable results, fundamental aspects of the approved strategy.

As soon as the Federal Government formally signaled its intention to retain the current Chairman of the Board, the Board of Directors hired an international consultancy specialized in executive search to search for a new CEO.

In the meantime, Mr. Wilson Toneto, Vice President of the Company, executive with a long history in the Brazilian insurance market and in the Company, will accumulate, on an interim basis, the Presidency of the Company with his current functions in the technical, actuarial and operations areas.

As soon as the recruitment and selection process is completed, the Company will announce the election of the new CEO to the market.
