NOTICE TO THE MARKET

ITAUTEC S.A. - GRUPO ITAUTEC, supplementing the Notices to the Market published on February 17 and March 29, 2012, hereby communicates the completion of the valuation report on the shareholder's equity of BIOLOGICA SISTEMAS LTDA at market value.

Based on the amounts ascertained in said report, the acquisition of a 70% stake in the share capital of BIOLOGICA does not apply to the situations provided for in Article 256 of Law 6404/76. Accordingly, a call notice to the Annual Shareholders' Meeting of ITAUTEC for ratification of said transaction is not required.
