In addition, according to a press release issued by J. Crew announcing the transaction, Millard Drexler, the current Chairman and CEO of J. Crew, will remain in this position after the closing and ?maintain a significant equity investment in J. Crew.?

Based on these and other factors, the proposed transaction may not adequately value J. Crew/JCG shares. The investigation relates to possible breaches of fiduciary duty and other violations of state law by the Board of Directors of J. Crew for approving this transaction and whether J. Crew's Board of Directors acted in the shareholders' best interests and properly shopped the deal.
