Kabel Deutschland Holding AG (DB:KD8) signed a purchase agreement to acquire Tele Columbus GmbH & Co. KG for approximately €620 million on May 21, 2012. The purchase price includes payment of €600 million for debt. The purchase price will provide for repayment in full of the financial debt of Tele Columbus GmbH & Co. KG. The transaction will be financed from unsecured bridge financing on KDH level in place now for €600 million which is committed by Morgan Stanley, Deutsche Bank and Goldman Sachs. Rothschild conducted the auction for Tele Columbus. For the year ended December 31, 2011, Tele Columbus GmbH & Co. KG had revenues of €218 million and an operating result (EBITDA) of €81 million. The acquisition is subject to the approval of the German Federal Cartel Office. The transaction will be accretive to Kabel Deutschland Holding. The deal is expected to close in first quarter of 2013.

As of December 6, 2012, Kabel Deutschland received the preliminary statement of objection from the German Federal Cartel Office on the planned Tele Columbus acquisition. As of January 23, 2013, Kabel Deutschland offered remedy package for the Tele Columbus, so that the deal gets approved from antitrust authority. As of February 18, 2013, the deal was rejected by German Federal Cartel Office and the remedies offered were notified as insufficient. Kabel Deutschland has a month to appeal the decision to the Düsseldorf Higher Regional Court. As of March 22, 2013, Kabel Deutschland appealed a regulatory decision over the antitrust decision.
