Sixth Street Partners, LLC, KKR & Co. Inc. (NYSE:KKR), Bayview Asset Management, LLC and CardWorks, Inc. entered into an agreement to acquire GreenSky, Inc. (NasdaqGS:GSKY) from Goldman Sachs Bank USA (New York) on October 11, 2023. CPP Investments is providing strategic financing for the transaction. Until closing, Goldman Sachs will continue to operate the platform and record ongoing business results. The transaction is expected to close in the first quarter of 2024, subject to standard closing conditions.
Goldman Sachs & Co. LLC is serving as financial advisor and Wachtell, Lipton, Rosen & Katz is serving as legal counsel to Goldman Sachs. Wells Fargo Securities, LLC is serving as financial advisor, BofA Securities and Mizuho Americas are also serving as financial advisors and Ravi Purushotham, Lee Meyerson, Sophie Staples, Tristan Brown, Harry Hudesman, Lori Lesser, Marisa Geiger, Krista McManus, Peter Guryan, Richard Jamgochian, Kelly Karapetyan, Caroline W. Phillips, Steven R. DeLott and Dennis Loiacono of Simpson Thacher & Bartlett LLP and Stephen Ornstein, Shanell Cramer, Maria Merritt, Andrew Petersen of Alston & Bird LLP are serving as legal counsel to the consortium led by Sixth Street Partners, LLC, KKR & Co. Inc. (NYSE:KKR), Bayview Asset Management, LLC and CardWorks, Inc. for the transaction.
