Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 4, 2021, Mr. James M. Kempton, Controller and Principal Accounting Officer, notified L.B. Foster Company (the "Company") of his intention to resign from the Company to accept a position as chief financial officer of another publicly traded company. Mr. Kempton's resignation is effective November 2, 2021, in order to support the Company's quarter-end activities. Mr. William M. Thalman, Senior Vice President and Chief Financial Officer, will perform the duties of Principal Accounting Officer until that position is filled.
