EQS-Ad-hoc: Leoni AG / Key word(s): Capital Reorganisation/Delisting Leoni AG: Nuremberg restructuring court confirms restructuring plan Nuremberg, 21 June 2023 – Leoni AG, Nuremberg (ISIN: DE0005408884 / WKN: 540888), announces that the Nuremberg restructuring court has today confirmed its restructuring plan. This confirmation of the plan follows the acceptance of the restructuring plan by the required majorities at a dedicated discussion and ballot meeting that took place on 31 May 2023. As communicated on 29 March 2023, among other things, the plan provides for a reduction of Leoni AG’s share capital to zero euros as part of the financial restructuring. This will result in the exit of previous shareholders and a delisting of Leoni’s shares. As a result of the implementation of the other capital measures of the restructuring plan, Leoni AG will receive new liquidity from a capital increase without subscription rights of 150 million euros and will be relieved of financial liabilities of a total of 708 million euros. The plan is to be implemented immediately after it has taken legal effect and it has received merger control clearance and other customary conditions have been cleared.
