John C. Malone, Chairman of the Board of Liberty, Leslie A. Malone (wife of John), two trusts managed by an independent trustee, the beneficiaries of which are John's adult children (Malone family) entered into a letter agreement to acquire 4.3% stake in Liberty TripAdvisor Holdings, Inc. (NasdaqGS:LTRP.A) from Gregory B. Maffei, President and Chief Executive Officer of Liberty in series B stock on December 21, 2014. Malone family will acquire 3.05 million Series A Common Stock in exchange for 2.77 million Series B Common Stock of Liberty. Frederick H. McGrath and Renee L. Wilm of Baker Botts L.L.P. acted as legal advisors for Liberty TripAdvisor. Barton J. Winokur of Dechert LLP acted as legal advisor for Gregory B. Maffei.

Malone, two trusts managed by an independent trustee, the beneficiaries of which are John's adult children completed the acquisition of 4.3% stake in Liberty TripAdvisor Holdings, Inc. (NasdaqGS:LTRP.A) from Gregory B. Maffei, President and Chief Executive Officer of Liberty on December 22, 2014. As announced on December 29, 2014, Compensation Committee of the Board has recommended, and Board of Directors of Liberty has approved the transaction.
