The following is a Company Announcement issued by LifeStar Holding plc ("the Company") pursuant to the Listing Rules issued by the Listing Authority.

Acquisition of Substantial Holding

The Company hereby announces that it has been notified by its majority shareholder Investar plc of the acquisition (through Investar plc's nominee account with GlobalCapital Financial Management Limited), effective today, of ordinary shares in the Company, namely, 6,399,092 ordinary shares previously owned by BAI Co (Mtius) Limited, 750,534 ordinary shares previously owned by Bramer Property Fund Limited, 180,920 ordinary shares previously owned by Bramer Asset Management Limited and 320,400 ordinary shares previously owned by Logandale Ltd.

Consequently, GlobalCapital Financial Management Limited, a subsidiary of the Company, holds on behalf of Investar plc, 7,650,946 ordinary shares in the Company representing 25.5% of the issued ordinary share capital, exceeding the 25% threshold.

Moreover, as a result, Investar plc, holds directly and indirectly, 23,432,411 ordinary shares in the Company. This represents 78.1% of the issued ordinary share capital of the Company, exceeding the 75% threshold.
