LNA Santé SA (ENXTPA:LNA) agreed to acquire Clinique Développement SAS from its partners on October 9, 2020. Clinique Développement reported consolidated turnover of 76.6 million in 2019. The transaction is subject to review by the Competition Authority. The transaction was approved by the Competition Authority on October 28, 2020. The transaction is expected to complete in November 2020. Fabrice Scheer, Franck Noat, Nicolas Senlis, Lahlou Khelifi, Leo Fallourd and Florian Dumas of Corporate Finance Alantra acted as financial advisors for LNA Santé SA. Delphine Bariani, Marie Gabiano, Pierre Bouley, Annaelle Lousquy and Etienne Pujol of Berrylaw acted as legal and tax due diligence advisors while Philippe Serzec and Benoît Cambournac of PwC acted as financial due diligence advisors to LNA Santé. Gilles Toussaint, Caroline Houry and Maud Van de Louw of La Baume Finance acted as financial advisors to shareholders of Clinique Développement. Vincent Siguier, Réginald Legenre, Astrid Chauwin and Guillaume Roland of Herald Avocats acted as legal advisors to Clinique Développement. Vania Mermoud and Armel Pédron of Deloitte Finance carried out Vendor Due Diligence.
LNA Santé SA (ENXTPA:LNA) completed the acquisition of Clinique Développement SAS from its partners on December 1, 2020. The 900 employees of the Clinique Développement group as well as all the prívate practitioners will join LNA Santé SA.
LNA Santé specializes in operating and managing full-care facilities for dependent elderly persons. Net sales break down by activity as follows:
- operation of medico-social and healthcare homes (93.4%): managed, at the end of 2022, 82 establishments (9,335 beds) broken down into living facilities with medical care for old people (45; 4,655 beds), follow-up care and rehabilitation clinics (18; 2,853 places), nursing homes (4 in Belgium; 555 beds), home hospitalization structures (9; 680 places), surgical facilities (2; 168 beds), psychiatric hospital (2; 299 beds) and rehabilitation facilities (2 in Poland; 125 beds);
- real estate development (6.6%).
