Gottex Fund Management Holdings Limited (SWX:GFMN) entered into an agreement to acquire EIM SA from Arpad Busson, through his family trusts, for CHF 31.5 million, in stock, on December 15, 2013. Under the terms, up to 14 million shares will be issued as consideration, of which 8.1 million shares will be issued at completion. Pursuant to acquisition, sellers would own approximately 70% of the enlarged group and EIM shareholders approximately 30%. The Board of Gottex proposes that Joachim Gottschalk will remain Group Chief Executive Officer of the combined business while EIM's founder Arpad Busson will become Non-Executive Chairman. All senior Gottex executives will remain on the Executive Management Committee which will be enlarged by two members from EIM namely Eric Bissonnier as Co- Chief Information Officer of the hedge fund multi-manager business and Hywel Evans will serve as Corporate Counsel - Europe. The transaction will be subject to approval of relevant regulatory authorities as well as Gottex shareholders with regards to the issue of the new shares. The company expects completion to take place within three to four months. Gottex expects the merger to be accretive on an operational profit as well as on a fully diluted earnings per share basis within 12 months excluding any potential revenue synergies. As on July 30, 2014, the transaction has received approval from Swiss regulatory authority.
