Frank De Moor, CEO Macintosh Retail Group: ?GP Décors successfully implemented a restructuring plan. However, given the continued difficult market conditions, GP Décors is unlikely to grow into a good profitable format as part of Macintosh Retail Group in the short term. Although GP Décors provides a basis for growth of our Living activities, acquiring a profitable retail chain in France or other market seems to be preferable over continuing a long-term process of gradually expanding GP Décors. However, Macintosh Retail Group?s future will continue to be in Fashion as well as Living.?

Reasons for sale

The home decoration markets in which Macintosh Retail Group operates have had a tough few years. Weaker economic conditions, combined with a fall in the number of relocations, resulted in lower spending on products for in and around the house. Turnover in the Living sector (Kwantum in the Netherlands / Belgium and GP Décors in France) came under pressure as a result.

Kwantum was able to partly offset declining turnover by achieving a higher gross margin and

observing strict cost control. GP Décors implemented a recovery plan in 2009 as part of which it closed 21 loss-making stores, at the same time stepping up collaboration with Kwantum vis-à-vis suppliers. However, due to an unfavourable market, this was not enough to achieve an adequate recovery in profitability.

Although GP Décors? current stores (30) generate a positive shop contribution, its number would

have to be increased substantially to make it a profitable retail chain in the short run. Macintosh Retail Group is of the opinion that this process will be completed more quickly if GP Décors joins forces with a different owner. It has therefore decided to sell GP Décors.

The GP Décors sales process will start in September 2011, with Macintosh Retail Group being assisted by FINAO CONSEIL from Paris.

Living continues to be strategic

Macintosh Retail Group has classified Fashion and Living as strategic sectors. Despite the sale of GP Décors, Living will continue to be an interesting sector for Macintosh Retail Group in the future. The organisation of the supply chain for Living makes it possible to develop a revenue and growth model similar to the one in the Fashion sector. That is why Macintosh Retail Group continues to operate in

Living and will be looking for potential acquisition candidates in this sector.

Key facts of GP Décors

GP Décors is a relatively small supplier of home decoration products with 30 stores in mainly the north and west of France. It has a product range similar to that of Kwantum, however boasting a specialist rather than a discounter image. In 2010, GP Décors generated turnover of some ? 20 million and realised a negative operating result.
