("the Company") pursuant to the Capital Markets Rules as issued by the Malta Financial Services Authority in accordance with the provisions of the Financial Markets Act (Chapter 345 of the Laws of Malta) as they may be amended from time to time.

The Company announces that Mr. Sayed Mohamed Mohamed Noor Sharaf holder of Emirati passport number H26H42420 and residing in Dubai, United Arab Emirates, is resigning from the position of Director and Chairman of the Company with immediate effect.

Furthermore, the Company announces the appointment of Mr. Nasser Al Awadhi holder of Emirati passport number ZPNP82797 and residing in Dubai, United Arab Emirates, as Director and Chairman of the Company with immediate effect.

Mr. Al Awadhi serves as Chief Business Transformation Officer and is responsible for leading transformational projects and programmes across Dubai Holding and its verticals as well as overseeing the Dubai Holding Centre of Excellence. Mr. Al Awadhi has been with the Group for more than 13 years and is a member of Dubai Holding's Executive Management Committee. He brings great expertise with his 25 years of experience and several board memberships.

He holds a Bachelor's in Business Administration from the University of South Carolina, USA and is a graduate of INSEAD's International Directors Programme.

There are no further matters concerning Mr. Al Awadhi that require disclosure under Listing Rules 5.20.5 to 5.20.9.
