US$ 5 MILLION LOAN FACILITY AGREEMENT
AND INTERESTED PERSON TRANSACTION
Mermaid Maritime Public Company Limited ("Borrower") wishes to announce that it has entered into a Facility Agreement ("Facilities") with Thoresen Thai Agencies Public Company Limited ("Lender"), to borrow from the Lender a loan of up to the aggregate principal amount of US$ 5,000,000.00 (Five Million United State Dollars) ("Loan"). The Loan has been drawn down by the Borrower on the 24th of December 2021.
The objective of the Facilities is to provide working capital required for Borrower's business.
CHAPTER 9 OF THE LISTING RULES - INTERESTED PERSON:
The Lender holds 58.22 percent the total share capital of the Borrower and as a controlling shareholder is an Interested Person. This shareholding is held by the Lender both directly and indirectly.
In addition to the Lender, the following are also Interested Persons:
