Dear Sirs,

We are pleased to present the second edition of the Consolidated Non-Financial Report by the Mexedia Group.

The decision taken in 2022 to become a Beneft Company is another part of our strategy, which considers environmental, social and governance (ESG) issues as crucial aspects for the growth of the frm as a tech company. It is a strategy that over the next few years will see the Company continue to grow, focused on its commitment to a sustainable model of development and supporting and engaging the supply chain in reaching its sustainability objectives.

Mexedia's non-fnancial report is intended as a tool to meet the information requirements of our stakeholders.

Beyond the regulatory framework within which we operate, we have an ambitious goal of representing the Group with an emphasis on corporate responsibility in all sustainability issues.

The Mexedia Group sets the goal of valuing ethical principles, in compliance with the legislation, through constant action by its control and governance bodies to ensure gender equality and the timely management of risks.

Even though Mexedia pursues activities with a low environmental impact, the Group still follows guidelines on energy consumption, recycling and compliance with environmental and ethical issues in general.

We also believe that sustainable management of personnel is a pivotal factor in achieving these targets. We therefore pay attention to remuneration policy and gender diversity, while ensuring equal opportunities and the same chances of career progression for everyone joining the company.

The non-fnancial report has been prepared in accordance with the recent regulatory requirements for the reporting of non-fnancial information, introduced with Legislative Decree 254 of 30 December 2016 (the "Decree"). and in accordance with the 'Global Reporting Initiative Sustainability Reporting Standards' defined in 2016 by the Global Reporting Initiative (GRI), in their most recent version (2021)

The Report should be seen as the frst step on a journey of sustainability, to support the Group's strategy and create value for all stakeholders in the medium to long term.

Applied standards

The Mexedia Group 2023 Consolidated Non-Financial Report ("NFR"), now in its second edition, contains information about the Group's performance for the year ended 31 December 2022 as required by Legislative Decree 254/2016. In accordance with Article 5 of that Decree, it constitutes a separate report containing specifc wording, in order to comply with the legal requirements for non-fnancial reporting. The report contains information about the key issues as provided for in Art. 3 of the Decree, with suffcient detail to allow an understanding of the Group's activities, its performance, results and impact.

The purpose of the Consolidated Non-Financial Report is to provide a transparent disclosure of the Mexedia Group's performance in social and governance matters.

The NFR, published annually, is prepared in compliance with the Global Reporting Initiative Sustainability Reporting Standards defned in 2016 by the Global Reporting Initiative (GRI), in its most recent version (2021). The data and information included in this Report are taken from the Group's corporate information systems, and a non-fnancial reporting system specifcally implemented to meet the requirements of Legislative Decree 254/2016 and the GRI Sustainability Reporting Standards. To help the reader fnd information within the document, the GRI Content Index has been included below, together with the GRI indicators associated with each material topic. References to other company reports may be included in the same index and elsewhere in the document.

The sustainability information presented in the NFR refects the principle of materiality or relevance, which is an element of the reference legislation and a characteristic of the GRI Standards (2021). The topics included in this Report are those that, following an analysis and assessment of materiality, have been considered relevant as they can refect the social, environmental and governance impacts of the Group's activities or infuence the decisions of its stakeholders.

For the frst time in 2023, these topics have been identifed on the basis of the actual and potential positive and negative impacts of the Group's business activities, in accordance with the provisions of "GRI 3: Material Topics 2021". The Company has also undertaken a gap analysis between the GRI Standards and the new European Sustainability Reporting Standards (ESRs), proposed by EFRAG on the basis of the provisions of the CSRD (Corporate Sustainability Reporting Directive), adopted by the EU Commission in April 2021. The purpose of this is to ensure that during the course of 2024, the reporting of non-fnancial information will take place in accordance with EC regulations.

This document thus describes the main policies practiced by the Group, its management models and results achieved during 2023, with regard to the issues set out in Legislative Decree 254/2016 (environmental, social, personnel, human rights, the fght against active and passive corruption), as well as the main risks identifed, generated or borne in relation to these issues, and how these risks are addressed. To ensure an accurate representation of performance and to ensure the reliability of data, the use of estimates has been minimized wherever possible. Any estimates that have been included are referenced appropriately. Any restatements of previously published comparative data are clearly indicated as such.

Following the materiality analysis, the aspects linked to Governance, legal compliance and economic performance were considered to be requirements, and have thus been reported in this document despite not having been expressed in any material topic. For 2023 and continuing into 2024, the Company has set the target of implementing a Sustainability Policy and Sustainability Plan, in line with the SDGs. The objective is to embed sustainability issues within the Group's strategies, through activities carried out by the Innovation and Sustainability Committee and the Board of Directors. Chapter "2.1. Scope of reporting

As provided for in Legislative Decree 254/2016, Article 4, this Consolidated Non-Financial Report includes the data of the parent company (Mexedia S.p.A. Beneft Company) and its fully-consolidated subsidiaries. For reporting purposes, the consolidation perimeter for the non-fnancial information is the scope applied to the fnancial reporting process, based on the global consolidation method.

For further information about signifcant events in the 2023 fnancial year, please refer to the Consolidated Financial Statements.

Reporting process

The Mexedia Group's Consolidated Non-Financial Declaration for 2023 was prepared on the basis of a structured reporting process, as described in the "Procedure for drafting the Consolidated Non-Financial Report", consisting of the following phases:

  • planning, collecting, checking and certifying the data, with the involvement of all the company departments and offces responsible for the relevant areas and for the information contained in the Report. Once the main material topics, projects and initiatives to be included in the Report have been identifed, the quali-quantitative data and information will be collected and consolidated. Data and information are collected through a special non-fnancial reporting system, consisting of data collection sheets designed in accordance with the requirements of Legislative Decree 254/2016 and the GRI Standards;
  • preparation of the frst draft of the NFR by the Administration Finance and Control Division, based on the quali-quantitative information collected in the data sheets;
  • approval of the NFR by the Board of Directors of Mexedia S.p.A. Società Beneft, convened on 27 March 2024 to approve the Financial Statements and Consolidated Financial Statements as at 31.12.2023, after obtaining the favourable opinion of the Innovation and Sustainability Committee;
  • publication of the NFR on the company website and fling in the Business Register, so that the report is transparently available to all stakeholders.

The NFR has also undergone a "limited assurance engagement" according to the criteria indicated by the ISAE 3000 Revised standard, by the auditing company RB Audit Italia Srl, (listed on the Register of Statutory Auditors at no. 08110871004, located in Rome at Via Nairobi 40, tax code and VAT no. 08110871004 REA - RM 1074534), ha rilasciato un'apposita relazione circa la conformità delle informazioni fornite nella Dichiarazione consolidata di carattere non finanziario 2023 redatta dal Gruppo Mexedia ai sensi del D.Lgs. 254/2016 which issued a conformity report at the end of the assurance process of the information provided in the 2023 Consolidated Non-Financial Report prepared by the Mexedia Group pursuant to Legislative Decree 254/2016.

Mexedia S.p.A. Beneft Company is a tech company listed in France on the Euronext Growth Paris. It was converted into a beneft company (Società Beneft) in July 2022. Born in the international voice and SMS termination business, Mexedia now offers advanced services covering a wide range of technologies such as AI and IoT, as well as innovative customer experience tools that enable businesses to upgrade and simplify their in-house and customer service processes.

Mexedia DAC, an Irish subsidiary 100% owned by Mexedia Spa. Mexedia Inc., an American subsidiary 100% owned by Mexedia Spa.

1.1 The structure of Mexedia and its companies

On the reporting date, the parent company Mexedia S.p.A. Società Beneft controls 100% of the following companies:

  • Mexedia Inc.
  • Mexedia Net+ S.r.l.
  • Mexedia Health S.r.l.
  • Baasbox S.r.l.
  • Matchcom Communications Inc.
  • Phonetime Inc.

The following diagram shows the composition of the Mexedia Group.

Baasbox S.r.l., Mexedia Net+ S.r.l. and Mexedia Health S.r.l. are not within the scope of consolidation.

Baasbox S.rl. is outside the consolidation perimeter, as its acquisition was formalised in July 2023 and its fgures are not signifcant. Mexedia Net+ S.rl. and Mexedia Health S.rl. are outside the scope as both entities are linked to start-up projects with marginal volumes of business.

02. Prioritisation of key issues: Mexedia's materiality matrix

To identify the strategic sustainability priorities and defne the contents of the NFR, in 2023 the Mexedia Group updated its materiality analysis process in order to identify and prioritise the material topics, in application of the Reporting Standards issued by the Global Sustainability Standard Board of the Global Reporting Initiative (GRI). The material topics are those issues of economic, social and environmental relevance for the Mexedia Group and its stakeholders, and which have a signifcant impact on the Company's economic, social and environmental performance.

This process, which led to the updating of the Group's materiality matrix, was coordinated by the Beneft Unit with the involvement of both Management and a group of external stakeholders.

Starting with an internal analysis of the company documentation (including the Code of Ethics, Annual Financial Report, Business Plan, Strategic Plan and the Model pursuant to Legislative Decree 231/2001), with particular reference to the documentation relating to the risk management system, and an evaluation of the external documents on changing scenarios, as well as the evaluation questionnaires of the sustainability rating companies, the economic, social and environmental impacts of Mexedia's business linked to the material topics already identifed in previous years were identifed as a matter of priority.

In the process of updating its materiality analysis, the Company has identifed and involved all the priority stakeholders for its activities and business relationships, making sure to also include any person or group with whom it does not have a direct relationship, but whose interests are or could be infuenced by its activities. Mexedia considers the involvement of stakeholders one of the milestone of the company: as a listed company, the relation with external stakeholders, and in particular with shareholders, has assumed a fundamental role over the years. The Company considers it a priority objective to guarantee full access to company information for the community of investors and stakeholders in general.

Below is a list of the categories of external stakeholders and the dialogue and engagement activities carried out in 2023, to which are added the specifc stakeholder engagement actions completed in order to update the materiality analysis, presented in the following paragraph.
