CHANGE IN THE SHARE CAPITAL OF MFE-MEDIAFOREUROPE N.V.

MFE-MEDIAFOREUROPE N.V. ("MFE") announces the increased amount of its share capital, subscribed and paid-up, as a result of the share capital increase for which pre-emption rights have been excluded, resolved upon by the Board of Directors of MFE on 7 July 2022, in partial execution of the authorisation granted by the MFE Shareholders' General Extraordinary Meeting held on 27 April 2022, to service the voluntary totalitarian tender and exchange offer launched by MFE for the entire share capital of Mediaset España Comunicación, S. A. ("MES"), authorised by the Spanish financial markets authority (Comisión Nacional del Mercado de Valores - "CNMV") on 26 May 2022 and whose amendment was approved by the CNMV on 9 June 2022, (the "VTO") and, therefore, to be executed by way of contribution in kind, into MFE, of the MES shares tendered to the VTO.

In particular, on 12 July 2022, MFE issued no. 383,678,784 new MFE "A" ordinary shares, with a unitary nominal value of Euro 0.06 each and granting 1 vote each, regular entitlement and current coupon number 1, and consequently MFE's share capital was increased from Euro 777,186,257.34 to Euro 800,206,984.38.

1. On the date hereof, the amount of voting rights conferred by the no. 1,524,507,433 MFE "A" ordinary shares (granting 1 vote each) and by the no. 1,181,227,564 MFE "B" ordinary shares (granting 10 votes each), is equal to no. 13,336,783,073 votes, in aggregate.
