Apex Consolidation Entity Ltd agreed to acquire Data & Analytics and Business Outsourcing Divisions from MJ Hudson Group plc (AIM:MJH) for £40 million on April 6, 2023. The sale includes Data & Analytics and Business Outsourcing Divisions, being substantially all of the Group's remaining operating divisions of MJ Hudson Group. The consideration of £40 million on a debt free basis for the sale of both the Data & Analytics Division and the Business Outsourcing Division will be subject to Holdback Amounts. The Business Outsourcing Division includes multiple regulated entities which will require certain mandatory and suspensory regulatory consents for a change of ownership. The Disposal will therefore be completed in stages to facilitate early completion of the unregulated Data & Analytics Division. The operating profit of Data & Analytics and Business Outsourcing Divisions was collectively £5.7 million as of June 30, 2022. The sale of the Data & Analytics Division is expected to complete following Shareholder approval at the General Meeting, whilst completion and the sale of the Business Outsourcing Division is expected to complete at various times following receipt or waiver of the Regulatory Consent(s) relevant to that part of the Business Outsourcing Division. MJ Hudson Group will use majority of the consideration to reduce the debt owed to the Senior Lender. The General Meeting regarding the transaction is expected to be convened on May 3, 2023. As of May 4, 2023, MJ Hudson Group plc (AIM: MJH), announces that Shareholder has approved the disposal of the Data & Analytics. The Transaction will occur before the end of May. As of May 17, 2023 acquisition of Data & Analytics Division has been completed for £15 million of which £3 million is being retained in escrow until September 30, 2024 to satisfy any buyer claims under the sale and purchase agreement. The Business Outsourcing Sale will therefore be completed in stages following receipt or waiver of the regulatory consent(s) relevant to that part of the Business Outsourcing Division. Consideration for the Business Outsourcing Division is approximately £25 million payable in tranches on the completion of the constituent parts of the sale of the Business Outsourcing Division subject to a retention to satisfy any buyer claims under the sale and purchase agreement.

Apex Consolidation Entity Ltd completed the acquisition of Data & Analytics and Business Outsourcing Divisions from MJ Hudson Group plc (AIM:MJH) on May 16, 2023. The transaction has received the regulatory approvals. MJ Hudson'sIrish ManCo business will continue to operate under the Bridge Fund Management brand, regulated by the Central Bank of Ireland to offer independent third-party management company and fund governance services to both Irish domiciled UCITS and AIFs.
