mobilezone holding ag - Ordinary General Meeting

At today's mobilezone holding ag general meeting, 53,4 percent of the share capital was represented. Due to Ordinance 2 on Measures to Combat Coronavirus as issued by the Swiss Federal Council, the shareholders were only able to cast their votes via an independent proxy. The shareholders voted in favour of all proposals from the Board of Directors:

• Payout of a dividend of 0.60 CHF per share on 17 April 2020 (ex-date 15 April 2020), half of which will come from balance sheet profits and half from capital contribution reserves.
• Consultative vote on the remuneration report for the financial year 2019
• Easing the burdens on the Board of Directors and company management
• Re-election of Urs T. Fischer, Gabriela Theus and Peter K. Neuenschwander to the Board of Directors
• Election of Michael Haubrich to the Board of Directors
• Re-election of Urs T. Fischer as Chairman of the Board of Directors
• Re-election of Urs T. Fischer and Peter K. Neuenschwander to the remuneration committee
• Election of Michael Haubrich to the remuneration committee
• Creation of authorised capital amounting to a maximum of 40,000 CHF, whereby the Board of Directors is empowered to increase the share capital by 7 April 2022 through the issue of a maximum of 4,000,000 fully paid registered shares with a par value of 1 centime each.
• Approval of the total amount of the maximum permissible remuneration for the Board of Directors for the period up to the next ordinary general meeting
• Approval of the total amount of the maximum permissible remuneration for company management for the financial year 2021
• Appointment of Hodgskin Rechtsanwälte of Zurich as independent proxy
• Appointment of PricewaterhouseCoopers AG of Zurich as statutory auditor
