Mobile Data Systems, Inc. entered into an agreement to acquire MOJO Data Solutions, Inc. from RDA Equities and other sellers in a reverse merger transaction on September 27, 2013.
The transaction is subject to due diligence, approval of Board of Directors of MOJO Data Solutions and Mobile Data Systems and shareholders' approval. Pursuant to the agreement, MOJO Data and Mobile Data Systems have agreed to consummate the transaction no later than three business days following the satisfaction or waiver of all of the conditions but in any event no later than November 20, 2013.
As of November 19, 2013, MOJO Data Solutions entered into an amended agreement with Mobile Data Systems, Inc., pursuant to which the date by which MOJO Data is required to consummate the acquisition was extended from November 20, 2013 to January 31, 2014. Also, the date after which the agreement may be terminated was extended from November 21, 2014 to February 1, 2014.
