CAICA Inc. completed the acquisition of remaining 49% stake in NCXX Solutions Co., Ltd. from NCXX Group Inc..

CAICA Inc. (JASDAQ:2315) agreed to acquire remaining 49% stake in NCXX Solutions Co., Ltd. from NCXX Group Inc. (JASDAQ:6634) for approximately ¥300 million on January 29, 2018. CAICA Inc. will issue 705.63 shares against the one share of NCXX Solutions Co., Ltd. CAICA Inc will issue 4.2 million shares. Post transaction CAICA Inc. will hold 100% stake in NCXX Solutions Co., Ltd. During the financial year ended November 2017, NCXX Solutions Co., Ltd. reported revenues of ¥2.3 billion, total assets of ¥1.3 billion, operating profit of ¥43 million, net loss of ¥31 million and net assets of ¥613 million. Extraordinary shareholders' meeting resolution schedule date is February 28, 2018. The Board has been resolved to conduct a share exchange. The transaction is expected to close on March 1, 2018.
