Liberated Solutions, Inc. (OTCPK:LIBE) entered into a non- binding letter of intent to acquire Ngen Technologies USA Corp. from Clifford Rhee, Edward Carter, Peter Zimeri and Brian Conway on August 5, 2019. Liberated Solutions, Inc. entered into an agreement to acquire Ngen Technologies USA Corp. from Clifford Rhee, Edward Carter, Peter Zimeri and Brian Conway on August 22, 2019. The NGEN Shareholders shall exchange 100% of the equity interests in NGEN, which shall be transferred to Liberated, in exchange for the issuance to the NGEN Shareholders all shares of Series A Preferred Stock of Liberated. The transaction is subject to the satisfaction of customary conditions to closing, as shall be set forth in the Definitive Documentation, including satisfactory completion of NGEN’s due diligence review and the approval of the Board of Directors of each of NGEN, Greenfield and Liberated. The transaction is expected to be close on or before August 30, 2019. Liberated Solutions, Inc. (OTCPK:LIBE) completed the acquisition of Ngen Technologies USA Corp. from Clifford Rhee, Edward Carter, Peter Zimeri and Brian Conway on September 16, 2019. At the closing of the Transaction, Liberated Solutions, Inc. redeemed from Mr. Conway the 250,000 shares of Series X Preferred Stock held by Mr. Conway as of the Closing, in exchange for the issuance to Mr. Conway of a number of shares of Common Stock constituting 2% of the issued and outstanding shares of Common Stock as of the Closing, or 69,614,937 shares and acquired from Clifford Rhee, Edward Carter and Peter Zimeri, all of the common stock, no par value per share, of Ngen in exchange for the issuance to Clifford Rhee, Edward Carter and Peter Zimeri of 0.25 million shares of Series X Preferred Stock of the Company, apportioned 0.12 million shares to Mr. Rhee, 0.12 million shares to Mr. Carter, and 2,500 shares to Mr. Zimeri. The consummation of the Purchase Agreement on August 31, 2019, resulted in the appointment of Mr. Carter and Mr. Rhee as officers and directors of the company. Ngen reported a net sales of $20.1 million, gross profit of $4 million and net income of $3.5 million for the year ended on December 31, 2018.
