Nikken Kogaku Co., Ltd. (TSE:9767) concluded an agreement to acquire 95.5% stake in Sanshosuiko Co.,Ltd. from Fuji Kaiji Kogyo Co., Ltd., Yoshinori Shigeoka, Yoshimasa Shigeoka and others for approximately ¥670 million on May 22, 2017. Nikken Kogaku Co., Ltd. will acquire a total of 0.19 million shares in Sanshosuiko Co.,Ltd. Fuji Kaiji Kogyo Co., Ltd. will sell 0.14 million shares, Yoshinori Shigeoka and Yoshimasa Shigeoka will sell 0.02 million shares each. Sanshosuiko Co.,Ltd. will be converted into a subsidiary of Nikken Kogaku Co., Ltd. due to the transaction. For the year ended March 31, 2017, Sanshosuiko Co.,Ltd. reported net assets of ¥1.4 billion, total assets of ¥2.3 billion, sales of ¥1.9 billion, operating income of ¥10.6 million and net income of ¥5.4 million. The Board of Directors of Nikken Kogaku Co., Ltd. resolved the deal on May 22, 2017. The transaction is expected to complete on June 23, 2017.
