IRA Financial Group LLC and IRA Financial Trust Company (”IRA Financial“) entered into an agreement to acquire Non-Invasive Monitoring Systems, Inc. (OTCPK:NIMU) in a reverse merger transaction on December 4, 2018. Under the terms of the agreement, upon closing, the current shareholders of Non-Invasive Monitoring Systems and IRA Financial will own 15% and 85% of the combined company, respectively, on a fully diluted basis. Upon completion of the transaction, Adam Bergman would become the Company's Chief Executive Officer and President. The transaction is subject to the approval of the South Dakota Division of Banking and a recapitalization of NIMU involving the completion of a $1.25 million equity financing and the conversion of NIMU's outstanding preferred stock and debt into Non-Invasive Monitoring Systems common stock. The transaction is expected to close in the first quarter of 2019. (OTCPK:NIMU) in a reverse merger transaction on August 4, 2019. The transaction was cancelled due to the failure of the Exchange to have closed on or prior to the Outside Date.
