Nova Ljubljanska Banka d.d. (LJSE:NLBR) made an offer to acquire remaining 16.77% stake of Komercijalna banka a.d. (BELEX:KMBN) for RSD 9.4 billion on February 11, 2021. Under the transaction, Nova Ljubljanska will acquire remaining 2.8 million regular shares and 0.37 million, representing 100% of all priority shares. Nova Ljubljanska Banka d.d., will pay RSD 3315.47 per ordinary share and RSD 934.72 per priority share. The transaction is subject to Serbian Securities Exchange Commission approval. Takeover bid is open for acceptance (Bidding Period) for 30 days, beginning from March 11, 2021. Following expiration of the Bidding Period, Nova Ljubljanska Banka d.d. in its capacity as Bidder) will pay to those stakeholders who have accepted Nova Ljubljanska Banka d.d.'s Takeover Bid (in no later than 2 days as of completion of the Takeover Bid) a corresponding amount of purchase price for the shares (deposited to the Depo Account with BDD Convest a.d. Novi Sad) for which these stakeholders have accepted the Takeover Bid.
