MATERIAL FACT

Suspension of the General Creditors' Meeting

Oi S.A. - In Judicial Reorganization ("Oi" or "Company"), in compliance with the provisions of paragraph 4 of article 157 of Law No. 6,404/1976 and CVM Resolution No. 44/21, in continuity with the Material Facts of February 6, March 5, 25, 26, 27, and April, 8, 2024, hereby informs its shareholders and the market in general that, on April 17, 2024, the General Creditors' Meeting ("Meeting") of the Company and its subsidiaries Portugal Telecom International Finance B.V. - In Judicial Reorganization and Oi Brasil Holdings Coöperatief U.A. - In Judicial Reorganization ("RJ Debtors") was resumed.

After the start of the Meeting, it was requested by a relevant group of international financial creditors holding notes issued by the Oi Group abroad (Noteholders) and international development agencies (Export Credit Agencies - ECAs, together with the Noteholders, "the Ad Hoc Group"), the suspension of the Meeting until April 18, 2024, at 2:00 pm, with the extension of the stay period, in order to allow the consolidation of negotiations and reaching convergence on residual issues related to the Judicial Reorganization Plan.

The matter was submitted to vote, and it was approved by the majority of the credits present in the Meeting. The Meeting will resume in person at the Hotel Windsor Marapendi, located at Avenida Lúcio Costa, nº 5.400, Barra da Tijuca, Rio de Janeiro - RJ, on April 18, 2024, at 2:00 pm and the re-accreditation of creditors or representatives present at the Meeting suspended on this date will begin at 1:00 p.m. and end at 1:59 p.m.

The minutes of the Meeting to be made available by the Joint Judicial Administration may also be consulted on the Company's websites (www.oi.com.br/ri) and (https://recjud.com.br), on the CVM Empresas.NET System (https://www.gov.br/cvm/pt- br) and on the website of B3 S.A. - Brasil, Bolsa, Balcão (www.b3.com.br).

The Company will keep its shareholders and the market informed about the development of the matters that are subject of this Material Fact.
