Origin shareholders (or their proxies, attorneys or corporate representatives) will be able to attend and vote at the Scheme Meeting in person. Shareholders should note the meeting location for the adjourned Scheme Meeting is different from the previous venue.

Scheme Meeting record date

All registered Origin shareholders as at 7:00pm (Sydney time) on 21 November 2023 will be eligible to vote at the adjourned Scheme Meeting.

Proxy votes

Valid proxy forms which have already been submitted by Origin shareholders remain valid unless revoked.

Shareholders who have already submitted their proxy form are able to revise their proxy instruction either online or by completing and returning a replacement proxy form. To be valid, proxy forms must be received by the share registry no later than 2.00pm on Saturday 2 December 2023. Any proxy form that is received prior to this time will revoke any previously submitted proxy instruction. As the proxy deadline is a Saturday, hard copy proxy forms should be provided to Origin's share registry by 5.00pm on Friday 1 December 2023.

Further details on how to vote have been set out in the Notice of Scheme Meeting in Annexure 4 of the Scheme Booklet dated 18 October 2023. Shareholders should note that the relevant dates have been updated (as set out in this announcement) since the date of the Scheme Booklet.

Second Court Hearing

If the Scheme is approved by Origin shareholders, the Court will consider whether to approve the Scheme at the Second Court Hearing, currently expected to be held at 3.00pm (Sydney time) on 7 December 2023.
