1.Date of the shareholders' meeting:2022/06/15
2.Important resolutions I.Profit distribution/deficit compensation:
Acknowledgement of the Company's 2021 profit distribution.
The total of bonus for allocation is NT$326,700,000 and will all be
distributed in cash (NT$4.5 per share).
3.Important resolutions II.Amendments of the company charter:
Passed proposal of the amendment to "Articles of Incorporation" of
the Company.
4.Important resolutions III.Business report and financial statements:
Acknowledgement of the Company's 2021 Business Report and Financial
Statements.
5.Important resolutions IV.Election for directors and supervisors:
The 16th election of directors (including independent directors).
The tenure of office starting from July 1,2022 until June 30, 2025.
List of elected directors is as follows:
Director:An-Ting Chung, Tang-Lung Hsu (Representative of Yi De Co., Ltd.),
and Tim Chiang (Representative of Yi Sheng Co., Ltd.)
Independent director:Adrain Chang, Vance Chin, Zhi-Jun Zhan, and Cherie Lin
6.Important resolutions V.Other matters:
(1)Passed proposal of the amendment to "Shareholders' Meeting Procedure
Rules"
(2)Passed proposal of the amendment to "Regulations Governing Election
of Directors"
(3)Passed proposal of the amendment to "Operational Procedures for
