On March 21, 2024, the Board of Directors of PaxMedica, Inc. amended Section 1.6 of Article I of PaxMedica, Inc.'s Amended and Restated Bylaws to reduce the quorum requirement for any meeting of stockholders to 33.4%. A copy of the First Amendment to the Amended and Restated Bylaws is attached to this Form 8-K as Exhibit 3.1.
