Registration of change in the total debt covered by the joint mortgage on assets of significant value of the Issuer's subsidiary

The Board of Directors of POLMED S.A. with its registered office in Starogard Gdański, with reference to the current report no 26/2015 of 25 September 2015, makes public that on 19 October 2015 a notification was received from the District Court for the City of Warsaw-Mokotów X Land Registry Department about the change of the entry through the acquisition of new debt secured by the joint contractual mortgage to the sum of PLN 23,415,800.00 on real estate belonging to the Issuer's subsidiary - POLMED Development Sp. z o.o with its registered office in Starogard Gdański - located in Warsaw at ul. Grzybowska 61, constituting an independent business establishment with a designated number of U2, with a total usable area of 426.16 m2; the Land and Property Register is marked with numbers 59/6, 59/8, 59/11, within the registration area 60104, in the district of Wola, in the Capital City of Warsaw, for which the District Court for Warszawa-Mokotów, X Land Registry Department keeps Land and Mortgage Register No. WA4M/00424877/1.

Registration of the abovementioned change in the total debt covered by the joint mortgage, which was established for Bank Millennium SA (the Bank), is associated with protection of claims arising from loan agreements concluded on 25 September 2015 by the companies of POLMED Group, i.e. to secure principal debt and contractual interest from not overdue principal of Polmed S.A. and Polmed Development Sp. z o.o, contractual interest on overdue debt, commissions, fees and expenses and receivables arising from blank promissory notes issued by Polmed S.A., Polmed Development Sp. z

o.o. and Polmed Zdrowie Sp. z o.o.

The abovementioned mortgage was established earlier as a collateral for the following loan agreements: (1) Investment loan agreement No. 7488/14/406/04 concluded on 8 July 2014 by the subsidiary of the Issuer - POLMED Development Sp. z o.o. with Bank Millennium SA for the amount


of PLN 6,700,000.00. (2) Overdraft agreement No. 7490/14/400/04 concluded on 8 July 2014 by POLMED SA with Bank Millennium SA for the amount of PLN 5.500.000,00. (3) Investment loan agreement No. 7489/14/406/04 concluded on 8 July 2014 by POLMED SA with Bank Millennium SA for the amount of PLN 374,000.00. (4) The Credit line agreement for bank guarantees No. 7455/14/424/04 concluded by POLMED SA with Bank Millennium SA on 30 June 2014.

The abovementioned mortgage is also established on real estate located in Wroclaw at ul. Grabiszyńska 208, constituting an independent business establishment with a designated number of B4, with a usable area of 312.04 m2, located in the building CORTE VERONA, plot No. 3/10, AM 25,

s. area Grabiszyn, for which the District Court for Wrocław-Krzyków in Wroclaw, IV Land Registry Department keeps Land and Mortgage Register No. WR1K/00280379/3.

The book value of these assets in the accounts of the subsidiary of the Issuer - POLMED Development Sp. z o.o, is PLN 4,627,00 net. There are no links between the Issuer and the persons managing or supervising the Issuer and the Issuer's subsidiary - POLMED Development Sp. z o.o and the Bank, for which the mortgage was established and the people managing it.

The criterion for the recognition of the abovementioned assets, on which the joint mortgage was established, as significant assets is their value exceeding 10% of the equity of the Issuer.
