MATERIAL FACT

POSITIVO TECNOLOGIA S.A. ("Company") (B3: POSI3), pursuant to CVM Resolution 44/21 and Law 6,404/76, as amended, in continuity with the information disclosed by the Company through the Material Fact of 10/19/ 2021 and 12/27/2021, informs its shareholders and the market in general that it signed, on this date, with the TSE - Superior Electoral Court ("TSE"), the Price Registration Act No. 40/2021 ("ARP") and TSE Service Supply Agreement No. 84/2021 ("TSE Agreement").

The TSE Contract corresponds to the first batch required by the TSE under the ARP and encompasses the production and supply of 139,415 (one hundred and thirty-nine thousand, four hundred and fifteen) electronic ballot boxes, in the amount of R$ 844,931,142.42 (eight hundred and forty-four million, nine hundred and thirty-one thousand, one hundred and forty-two reais and forty-two cents), which represents 79% (seventy-nine percent) of the total of 176,000 (one hundred and seventy-six thousand) predicted ballot boxes in the bidding.

The TSE may, during the period of 12 (twelve) months of the ARP, request the signing of new contracts for the production and supply of the remaining electronic ballot boxes, in addition to any contractual amendments, strictly in accordance with contractual and legal provisions.
