Positivo Tecnologia S.A. entered into a purchase and sale agreement to acquire SC Indústria de Equipamentos Eletrônicos Ltda. for BRL 23.8 million.

Positivo Tecnologia S.A. (BOVESPA:POSI3) entered into a purchase and sale agreement to acquire SC Indústria de Equipamentos Eletrônicos Ltda. for BRL 23.8 million on June 26, 2023. The Acquisition price, subject to the adjustments provided for in the contract, is BRL 23,800,000.00, of which BRL 11,300,000.00 will be paid on the closing date and the remaining amount will be paid in 5 annual, equal and successive installments, in the amount of BRL 2,500,000 each.

In 2022, SecuriCenter recorded gross revenue of approximately BRL 97 million. Completion of the acquisition is subject to fulfillment of obligations and conditions precedent usual in this type of operation, including submission for approval by CADE - Administrative Council for Economic Defense, which may occur later this year. The acquisition is not subject to approval by the General Meeting of Positivo Tecnologia.
