PRESTIGE ASSURANCE : RESOLUTIONS PASSED AT THE BOARD MEETING

RESOLUTIONS PASSED AT THE BOARD MEETING OF PRESTIGE ASSURANCE PLC

This to notify Nigerian Exchange Limited (the Exchange) and the Investing Public that at the meeting of the Board of Directors of Prestige Assurance Plc (the Company) which held virtually on Thursday, 16th May 2024 as scheduled, at No. 19, Ligali Ayorinde Street, Victoria Island, Lagos, Resolutions on the following were considered and approved by the Board amongst others:

1. That the Audited Financial Statements for the year ended on 31st December 2023 (2023 AFS) be and are hereby approved.
2. That the dividend proposal be and is hereby recommended subject to the approval of the members at the Annual General Meeting. However, the proposed dividend is subject to the National Insurance Commission's (NAICOM) approval of the 2023 Audited Financial Statements.
3. That the Board Representatives on the Audit Committee be and are hereby approved.
4. That the resignation of Mr. Agrawal Rama Kant as a non-executive director be and is hereby accepted by the Board of Directors with effect from 16th May 2024.
5. That the resignation of Mrs Rekha Gopalkrishnan as a non-executive director be and is hereby accepted by the Board of Directors with effect from 16th May 2024.
6. That the resignation of Mrs. Neerja Kapur as a non-executive director be and is hereby accepted by the Board of Directors with effect from 16th May 2024.

The Audited Financial Statements will be filed with the Exchange on or before 31st May 2024 subject to NAICOM approval.

Consequently, the closed period restricting all Directors and insiders from transacting in the shares of the Company remains in place until 24 hours after the release of the 2023 AFS and Unaudited Financial Statements for the period ended 31 March 2024 to the public.
