NBG Pangaea Real Estate Investment Company (ATSE:PANGAEA) entered into an agreement to acquire two adjacent commercial properties in Athens from Bank of Cyprus Public Company Limited for €10 million on November 19, 2018. Two adjacent commercial properties includes 6.9 thousands square meter and is located on Syggrou Avenue and Lagoumtzi Avenue and the other has total area of 2 thousands square meter and is located on Evridamantos and Lagoumtzi Street. The consideration is payable in cash. In a related transaction, Prodea Real Estate Investment Company entered into agreement to acquire 100% of the management shares and 88.2% of the investment shares of CYREIT Variable Investment Company PLC (“CYREIT”) based in Cyprus. As of March 28, 2019, Prodea Real Estate Investment Company signed a notarial preliminary agreement for the acquisition of the two adjacent commercial properties in Athens. As of July 3, 2019, Prodea Real Estate Investment Company signed a notarial preliminary agreement for the acquisition of the two properties. The signing of the final agreement took place on September 10, 2019. The transaction is subject to customary conditions precedents including approval from competent supervisory authorities of Cyprus, obtaining financing and concluding of legal and technical due diligence. As of March 28, 2019, signing of the final agreement is expected to take place during June 2019 subject to the completion of the transfer until that date of the shares of CYREIT. The transaction is expected to complete on March 29, 2019.
