RegalWorks Media, Inc. (OTCBB:RWMI) signed a letter of intent to acquire Working Element, LLC on February 2, 2014. RegalWorks expects the transaction to close by March 2014. The letter of intent includes a breakup fee if the transaction is not completed by April 30, 2014. RegalWorks has not been successful in securing financing for the acquisition of Working Element and negotiated an extension to the letter of intent until June 16, 2014. No breakup fee was reserved for as of December 31, 2013.
