BOARD OF DIRECTORS ASSESSES INDEPENDENCE OF THE DIRECTORS

Milan, March 29, 2021 - The Board of Directors of Retelit S.p.A. today assessed the independence of its members in office. Based on the declarations made by the Directors and the information available to Retelit, the Board of Directors has verified the continued independence pursuant to Article 148, paragraph 3 of Legislative Decree No. 58/1998 (as referred to in Article 147-ter, paragraph 4 of Legislative Decree No. 58/1998) and Article 2 of the corporate governance code of listed companies of the non-executive Directors Paola Bruno, Gianbeppi Fortis, Patrizia Mantoan and Marina Rubini. The Board of Directors also ascertained that the non-executive Director Luca Sintoni currently meets the independence requirements, pursuant to the said provisions.

The Board of Directors, whose term of office concludes with the next Shareholders' Meeting on May 20, 2021, has deferred to the new Board of Directors the establishment of the criteria for assessing the materiality of the relationships and additional remuneration provided for in Recommendation No. 7, letters c) and d) Corporate Governance Code, including in light of the fact that the current Independent Directors have not had any relationship or received any additional compensation pursuant to such recommendation.
