Retrieve Medical, Inc. entered into an agreement and plan of merger to acquire Peak Pharmaceuticals, Inc. (OTCPK:PKPH) for $26.3 million in a reverse merger transaction on March 27, 2023. Peak Pharmaceuticals acquired, through a reverse triangular merger, all outstanding capital stock of Retrieve in exchange for issuing Retrieve's shareholders, pro-rata, an aggregate of 16,338,951 shares of Peak Pharmaceuticals, representing approximately 86% of the issued and outstanding shares of the Company's Common Stock on a fully diluted basis. As a result of the Merger, the Retrieve Shareholders became the majority shareholders of Peak Pharmaceuticals. Effective as of the Closing Date, Jerry Swon, was appointed as the Chief Executive Officer of combine company. As part of the Merger, merged entity plans to take the steps to immediately change its name to "Retrieve Medical Holdings, Inc.," as well as its trading symbol, and also plans on changing its fiscal year end from September 30 to December 31.
Neil Reithinger, the sole director of Peak Pharmaceuticals approved the Agreement and the transactions contemplated under the Agreement, and, on the Closing Date, resigned from his positions of Chief Executive Officer, Chief Financial Officer and sole director of the Company. The directors and shareholders of Retrieve have approved the Agreement and the transactions contemplated thereunder.

The Companyâs software is integrated with the Epic and Cerner, two of the electronic medical record providers in the world. The target market for its software is medical center emergency departments.
