NOTICE TO THE MARKET

RNI NEGÓCIOS IMOBILIÁRIOS S.A., with its registered office at Avenida Francisco das Chagas de Oliveira, 2.500, Higienópolis, in the city of São José do Rio Preto, state of São Paulo ("Company"), hereby announces to its shareholders and the market that at the Extraordinary Shareholders Meeting ("Meeting") held on this date, the

shareholders approved a reassignment of positions in the Board of Directors of the Company, with Roberto Oliveira de Lima becoming the Chairman of the Board of

Directors.

Mr. Lima holds a degree in public administration and a graduate degree in business administration from the Fundação Getúlio Vargas and has completed an extension course at the Institut Supérieur des Affaires, in Jouy-en-Josas, France.

At the Company, he has been serving as an independent member of the Board of Directors, according to the criteria defined by the Novo Mercado Regulations, as well as instructions and resolution of the Securities and Exchange Commission of Brazil ("CVM"), for over ten (10) years, always involved in the Company's highly complex and strategic decisions.

The Company also ratifies that, starting from this date, Waldemar Verdi Junior will remain on the Board of Directors of the Company as a member.

Finally, the Company wishes Messrs. Lima and Junior success in their new positions and reiterates that it will continue its efforts regarding operational efficiency and improvement with the focus always on sustainable growth.
