 (1) The reverse triangular merger among the Company, Albaugh LLC and its
 indirectly wholly-owned subsidiary Albaugh Limited was approved by the
 Company's extraordinary general meeting on February 8, 2022.
 (2) In accordance with relevant laws and regulations, the Company applied
 to Financial Supervisory Commission ("FSC") for cessation of the Company's
 status as a public company from May 3, 2022, and it was approved by FSC with
 approval letter dated April 13, 2022 with reference number 1110338822.
