Toronto, Ontario--(Newsfile Corp. - March 10, 2021) - SBD Capital Corp. (CSE: SBD), (the "Company") is pleased to announce a non-brokered private placement financing for gross proceeds of up to $750,000 through the issuance of up to 30,000,000 units in the capital of the Company (the "Units") at a price of $0.025 per Unit (the "Offering"). Each Unit shall consist of one common share in the capital of the Company (a "Common Share") and one Common Share purchase warrant (a "Warrant"). Each Warrant shall entitle the holder thereof to purchase one Common Share at a price of CDN$0.05 per Common Share for a period of four (4) years from the date of issuance.
Gross proceeds raised from the Offering will be used for working capital and general corporate purposes. Closing of the Offering is subject to receipt of all necessary corporate and regulatory approvals, including the approval of Canadian Securities Exchange. All securities issued in connection with the Offering will be subject to a hold period of four months plus a day from the date of issuance and the resale rules of applicable securities legislation.
